1. Agreement
These Terms of Service ("Terms") govern your use of the Tenebra Studio website at tenebrastudio.com and any services we provide. By using the website or engaging us for services, you agree to these Terms. If you do not agree, do not use the website or our services.
Tenebra Studio ("we", "us", "our") is a brand under which independent professional services are provided from Alexandria, Egypt. The legal name and contact details of the service provider are disclosed on signed contracts, invoices, and any other binding documents shared with clients.
2. Website Use
- You may browse the website for personal or business purposes related to evaluating our services.
- You may not copy, scrape, reverse-engineer, or republish content from this website without written permission.
- You may not use the contact or brief forms to send spam, phishing, malicious content, or to impersonate another person.
- We may block or restrict access to anyone who violates these Terms.
3. Services
The services described on this website (web design, automation, software, digital products, owned products) are productized offers with defined scope and pricing tiers. The actual scope, deliverables, timeline, and price for any specific engagement are governed by a separate written proposal or contract signed between you and Tenebra Studio.
4. Payment Terms
Unless otherwise agreed in writing, the following apply to all engagements:
- Deposit: 50% of total project price is required upfront before work begins.
- Final payment: Due on delivery, before final files / source code / production access is handed over.
- Retainers: Billed monthly in advance. Cancellation requires 30 days written notice.
- Late payment: Invoices unpaid 14 days after due date may pause active work and trigger a 5% late fee per month.
- Currency: All prices are in EGP unless otherwise stated.
- VAT: Where applicable under Egyptian tax law, VAT is added to the invoice.
5. Scope & Revisions
Each engagement defines the scope of work in writing. Revisions outside the agreed scope ("scope creep") will be quoted as additional work and require approval before execution. We reserve the right to refuse work outside the original scope.
6. Third-Party Services & Infrastructure Costs
Most projects require third-party infrastructure: domains, web hosting, email hosting, plugins, paid APIs, payment gateways, SaaS subscriptions, etc. These are billed under one of three models, agreed in writing in the proposal:
A. Tenebra-Provided (managed)
- Tenebra Studio purchases, owns, and manages the resource on your behalf.
- You are billed by Tenebra Studio at our published rate, which includes a setup, management, and uptime margin over the underlying provider's cost.
- You receive one consolidated invoice from Tenebra Studio. You do not deal with the provider directly.
- If the engagement ends, ownership of the resource may be transferred to you for a one-time handover fee, or the resource may be terminated.
B. Client-Owned, Tenebra-Administered
- You hold the account and pay the third-party provider directly with your own payment method.
- Tenebra Studio may administer the account on your behalf (technical setup, configuration, deployments) under a separate administration fee defined in the proposal.
- You retain full ownership and can revoke our access at any time.
C. Client-Owned, Client-Operated
- You hold and operate the account yourself. Tenebra Studio is not responsible for setup, configuration, billing, uptime, or support.
- No fee is charged by Tenebra Studio for this resource.
Pricing changes by providers (e.g., a hosting provider raises its rates) are passed through to the next billing cycle with at least 30 days notice. We do not absorb provider price increases.
VAT and taxes on third-party services are passed through to the client at cost. Egyptian VAT may apply on Tenebra Studio's portion of the invoice where required by law.
7. Intellectual Property
- Client deliverables: Upon full payment, the client owns the final delivered work (designs, source code, photographs, automation flows) for their stated business use.
- Tenebra Studio retains: the right to use the work in our portfolio, case studies, and marketing materials, unless explicitly excluded in the contract.
- Pre-existing tools: Internal frameworks, libraries, templates, and methodologies developed by Tenebra Studio remain our property and are not transferred.
- Third-party assets: Stock photos, fonts, plugins, and third-party software remain under their respective licenses.
- Owned products: Any standalone product owned by Tenebra Studio (e.g., Akly Pro, Tenebra Business OS) remains the property of Tenebra Studio.
8. Confidentiality
We treat all client business information, credentials, and proprietary data as confidential. We will not disclose it to third parties except where required to deliver the work (e.g., shared with vetted vendors under NDA where applicable) or where required by law.
9. Warranties & Disclaimers
We deliver work to the standard of a reasonably skilled professional studio. However:
- The website and services are provided "as is" without warranties of any kind, express or implied.
- We do not guarantee specific business outcomes (revenue, leads, conversions). Results depend on factors outside our control.
- We do not warrant that the website will be uninterrupted or error-free.
- Third-party platforms (e.g., WhatsApp, Vercel, Supabase) are governed by their own terms and we are not responsible for their availability or changes.
10. Limitation of Liability
To the maximum extent permitted by Egyptian law:
- Tenebra Studio is not liable for indirect, incidental, consequential, or punitive damages (lost profits, lost data, lost opportunities).
- Our total liability for any claim is capped at the amount you paid us for the specific engagement giving rise to the claim, in the 6 months preceding the claim.
- Nothing in these Terms limits liability for fraud, gross negligence, or any liability that cannot be limited under Egyptian law.
11. Termination
- Either party may terminate an engagement for material breach with 14 days written notice and a chance to cure the breach.
- If you terminate without cause: deposit is non-refundable, and any work completed is invoiced and due.
- If we terminate without cause: we refund any unearned portion of the deposit on a pro-rata basis.
- Retainer agreements: 30 days written notice from either side.
12. Indemnification
You agree to indemnify Tenebra Studio against any claim arising from content, materials, credentials, or instructions you provided to us, including infringement of third-party intellectual property, defamation, or violation of law.
13. Changes to These Terms
We may update these Terms. The "Last updated" date reflects the most recent version. Continued use of the website after an update constitutes acceptance. Active client contracts are governed by the version in effect at the time of signing unless updated by mutual agreement.
14. Governing Law & Disputes
These Terms are governed by the laws of the Arab Republic of Egypt. Any dispute that cannot be resolved through good-faith negotiation will be settled by the competent courts of Alexandria, Egypt.
